
Terms of Service
By accessing or using Clubly Pro, you agree to these legally binding terms. Please read them carefully.
1. Account Registration
You must provide accurate, current information. You are responsible for all actions under your account. Sharing credentials is prohibited.
2. Verification & Claiming
To claim a venue, you must upload proof of ownership or management rights. Submitting false claims may lead to account suspension or legal action under Swiss law.
3. Payment & Stripe Connect
Payments are processed via Stripe Connect. Revenue is sent directly to your Stripe account. Clubly deducts its platform fee automatically. You are responsible for your own VAT/tax obligations.
- Not a merchant of record. You are the merchant of record for your sales. You are solely responsible for setting refund policies, issuing refunds through Stripe, and handling disputes.
- Non-refundable fees. Stripe processing fees and Clubly platform fees are non-refundable in case of refunds (full or partial), voids, disputes, or chargebacks. If a refund is issued, the corresponding fees remain due and will not be returned; if already collected, they may be offset against future payouts.
- Chargebacks & disputes. You are solely liable for any chargeback amount, fines, and related Stripe fees. Clubly may deduct or net such amounts (and any unpaid fees) from your balance or future payouts, or invoice you directly.
- Compliance. You must comply with Stripe Terms and applicable laws (consumer protection, tax, KYC/AML). Failure to do so may result in suspension or termination.
3a. Collection Agent & Intermediary Status
Clubly acts solely as a payment collection agent and intermediary for the venue or organizer. The face value of each ticket (and any ancillary amounts collected on behalf of the organizer) is collected for and on behalf of the organizer and does not constitute Clubly’s revenue. Only Clubly’s disclosed platform/service fees (if any) are revenues of Clubly. Your contractual relationship for the event, tickets, and any related services is with the organizer, not with Clubly.
4. Content Guidelines
You must not post illegal, misleading, or offensive content. Event listings should be truthful and clearly state conditions (e.g. age limits, dress code, refund rules). Clubly reserves the right to remove or suspend listings at its sole discretion.
5. Termination
We may suspend or permanently close your account if you violate these terms, abuse the system, or create legal risk for Clubly or its users.
6. Governing Law
These Terms are governed by Swiss law. Legal disputes shall be handled under the jurisdiction of Clubly's legal seat in Switzerland.
